Item 1.01 Entry into a Material Definitive Agreement.

On January 18, 2012, Stifel Financial Corp. (the “Company”) entered into an Underwriting Agreement with Stifel, Nicolaus & Company, Incorporated, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC and UBS Securities LLC, as representatives of the several underwriters named in Schedule A thereto (the “Underwriters”), providing for, among other things, the sale by the Company and the purchase by the Underwriters, acting severally and not jointly, of $175,000,000 aggregate principal of amount of the Company’s 6.70% Senior Notes due 2022 (the “Notes”).

The Notes were registered for offer and sold pursuant to an effective Registration Statement on Form S-3 (File No. 333-178969) filed with the Securities and Exchange Commission on January 11, 2012 (the “Registration Statement”).

The Notes were issued pursuant to a supplemental indenture, dated as of January 23, 2012 (the “Supplemental Indenture”), to the indenture, dated as of January 23, 2012 (together with the Supplemental Indenture, the “Indenture”) between the Company and U.S. Bank National Association, as Trustee (the “Trustee”).

The Notes bear interest at the rate of 6.70% per annum. Interest on the Notes is payable quarterly in arrears on January 15, April 15, July 15 and October 15, commencing on April 15, 2012. The Notes will mature on January 15, 2022.

The Company may, at its option, at any time and from time to time, on or after January 15, 2015, redeem the Notes in whole or in part on not less than 30 nor more than 60 days’ prior notice mailed to the holders of the Notes. The Notes will be redeemable at a redemption price equal to 100% of the principal amount of the Notes to be redeemed plus accrued and unpaid interest to the date of redemption.

The Indenture contains customary event of default provisions.

The public offering price of the Notes was 100.0% of the principal amount. The Company received net proceeds (before expenses) of approximately $169,750,000 million and will use such proceeds for general corporate purposes.

The Company is filing this Current Report on Form 8-K to add exhibits to the Registration Statement.

In connection with the offer and sale of the Notes pursuant to the Registration Statement, the Company is filing a legal opinion as Exhibit 5.1 to this current report on Form 8-K, which is incorporated by reference into the Registration Statement.
