EXPLANATORY NOTE

This Post-Effective Amendment No. 1 to Registration Statement on Form S-8 (the “Amendment”) filed by Synovus Financial Corp. (“Synovus”) relates to the Registration Statement on Form S-8 (Registration No. 333-170611) (the “Registration Statement”) filed with the Securities and Exchange Commission (“SEC”) on November 15, 2010 for the registration of 10,000,000 shares of common stock, $1.00 par value per share, of Synovus (“Common Stock”) to be offered to eligible directors of Synovus and its subsidiaries pursuant to the Synovus Financial Corp. Employee Stock Purchase Plan (the “Plan”). On April 27, 2011, Synovus’ shareholders approved the Synovus Financial Corp. 2011 Director Stock Purchase Plan (the “New Plan”), and the New Plan became effective on July 1, 2011. Concurrently with the effectiveness of the New Plan, the Plan terminated and no additional shares of Common Stock will be offered under the Plan. This Amendment is filed to remove from registration an aggregate of 149,756 shares of Common Stock previously registered for issuance that remain unsold under the Registration Statement as of the termination date of the Plan.
