Section 5 Corporate Governance and Management
Item 5.07. Submission of Matters to a Vote of Security Holders.
At the Annual Meeting of the Companys stockholders held on June 9, 2011, the Companys stockholders cast the highest number of votes for voting every year, compared to every two years or every three years, with regard to the advisory (non-binding) vote on the frequency of future stockholder votes on executive compensation. Based on these results and consistent with the previous recommendation of the Companys Board of Directors (the Board), the Board determined at its meeting held on June 23, 2011, that the Company will hold an advisory (non-binding) vote on executive compensation (say-on-pay vote) on an annual basis until the next required advisory (non-binding) vote on the frequency of say-on-pay votes occurs.
Pursuant to the requirements of the Securities Exchange Act of 1934, the Company has duly caused this report to be signed on its behalf by the undersigned hereunto duly authorized.
