EXPLANATORY NOTE:

Birks & Mayors Inc. and its subsidiary, Mayor’s Jewelers, Inc. (collectively, the “Company”), have each entered into an Addendum to Employment Agreement with Mr. Thomas Andruskevich, the Company’s Chief Executive Officer, dated April 21, 2011, extending the employment agreement indefinitely on the same terms and conditions until either party provides ninety (90) days prior written notice to the other to terminate the employment agreement. The termination date cannot be prior to March 31, 2012, and as such, the notice of termination cannot be given prior to December 31, 2011.
