Item 8.01. Other Events.

On January 21, 2010, Assurant, Inc. (the “Company”) announced that it has entered into a settlement with the U.S. Securities and Exchange Commission (the “SEC”) that concludes the previously disclosed investigation by the SEC into a finite reinsurance arrangement entered into by the Company. A copy of the Company’s news release regarding the settlement is attached hereto as Exhibit 99.1.
