(b) On February 12, 2009, Leon Panetta was confirmed by the United States Senate as the head of the United States Central Intelligence Agency, and as a result he concurrently resigned from the Board of Directors (the Board) of Corinthian Colleges, Inc. (Corinthian). Mr. Panetta had previously submitted a letter of resignation to Jack Massimino, Corinthians Chairman of the Board, conditioned upon Mr. Panettas confirmation by the Senate.
