This Amendment No. 3 (the Amendment No. 3) amends and supplements the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission (the SEC) on September 11, 2008, as amended by Amendment No. 1 filed on September 18, 2008 and Amendment No. 2 filed on September 29, 2008 (as amended and supplemented, the Schedule TO), by (i) Crisp Acquisition Corporation (the Purchaser), a Delaware corporation and a direct wholly owned subsidiary of Microsoft Corporation, a Washington corporation (Microsoft), and (ii) Microsoft. The Schedule TO relates to the offer by the Purchaser and Microsoft to purchase all of the outstanding shares of common stock, par value $0.0001 per share (the Shares), of Greenfield Online, Inc., a Delaware corporation (Greenfield), at a purchase price of $17.50 per Share, net to the seller in cash, without interest thereon and less any required withholding taxes, upon the terms and subject to the conditions set forth in the Offer to Purchase, dated September 11, 2008 (the Offer to Purchase), and in the related letter of transmittal (the Letter of Transmittal which, together with the Offer to Purchase, as each may be amended or supplemented from time to time, collectively constitute the Offer), copies of which are attached to the Schedule TO as Exhibits (a)(1)(A) and (a)(1)(B), respectively.
The Schedule TO (including the Offer to Purchase) and the Solicitation/Recommendation Statement on Schedule 14D-9 filed by Greenfield with the SEC on September 11, 2008, as amended by Amendment No. 1 filed on September 18, 2008, Amendment No. 2 filed on September 29, 2008, Amendment No. 3 filed on October 2, 2008 and as it may be amended from time to time, contain important information about the Offer, all of which should be read carefully by Greenfield stockholders before any decision is made with respect to the Offer. The Offer is made pursuant to the Agreement and Plan of Merger, dated as of August 29, 2008, by and among Microsoft, the Purchaser and Greenfield, a copy of which is attached to the Schedule TO as Exhibit (d)(1).

The information in the Offer to Purchase and the Letter of Transmittal is incorporated into this Amendment No. 3 by reference to all of the applicable items in the Schedule TO, except that such information is amended and supplemented to the extent specifically provided in this Amendment No. 3. Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to such terms in the Offer to Purchase.
Item 11. Additional Information.
Sections (a)(2) and (a)(3) of Item 11 of the Schedule TO are hereby amended and supplemented to include the following:
On October 2, 2008, Microsoft obtained clearance from the German Federal Cartel Office with respect to the Offer and the Merger. Accordingly, Microsoft has received all necessary regulatory clearances required to proceed with the acquisition of the Shares pursuant to the Offer, which is scheduled to expire at 12:00 midnight, New York City time, at the end of Wednesday, October 8, 2008, unless the Offer is otherwise extended.
In addition, Microsoft has made the required antitrust law filing in Italy. Accordingly, the Antitrust Condition has been satisfied and there are no remaining regulatory conditions to complete the Offer. The Offer remains subject to the satisfaction of all other closing conditions, including the Minimum Tender Condition.
