Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 16, 2008, WD Kelley retired as a member of the boards of directors of HopFed Bancorp, Inc. and its wholly owned subsidiary, Heritage Bank. Mr. Kelley, age 87, had been a member of the Board of Directors of the Company since its formation in 1997 and a member of the Board of Directors of the Bank since 1972. He was Chairman of both boards of directors.
