ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On February 7, 2008, Multi-Color Corporation issued a press release announcing the estimated impact to earnings per share resulting from its pending acquisition of Collotype International Holdings Pty. Limited, and that the transaction is expected to close by the end of February 2008. A copy of the press release is attached as Exhibit 99.1.
