NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

As previously reported on Form 8-K, the Company has delayed the filing of its Form 10-Q for the quarter ended September 30, 2006, Form 10-K for the year ended December 30, 2006, Form 10-Q for the quarter ended March 31, 2007 and Form 10-Q for the quarter ended June 30, 2007 pending completion of a previously disclosed special committee investigation of past stock option grants and any required restatements of financial statements. The Company is currently focusing on filing these reports and as such is delayed in filing its Form 10-Q for the quarter ended September 29, 2007. The Company previously reported that financial statements for fiscal years 1995 through 2006 and the related interim periods should not be relied upon.

Due to the restatements described in Part III, the Company is currently unable to provide a reasonable estimate of results for the quarters ended September 30, 2006, March 31, 2007, June 30, 2007 and September 29, 2007 and the year ended December 30, 2006.
