ITEM 1.01. Entry Into a Material Definitive Agreement.

On September, 18 2007, we entered into an Amended and Restated Credit Agreement, by and among the company, the lenders party to the Amended and Restated Credit Agreement, Wachovia Capital Markets, LLC and RBS Securities Corporation, as joint lead arrangers and joint book managers, Wachovia Bank, National Association, as administrative agent, The Royal Bank of Scotland, plc, as syndication agent, and Bank of America, N.A., JPMorgan Chase Bank, N.A. and Deutsche Bank Securities, Inc., as co-documentation agents.

The Amended and Restated Credit Agreement increased the size of the revolving credit facility from $600 million to $750 million and extended the maturity date of the revolving credit facility from January 18, 2010 to September 18, 2012. In addition, the company has the ability from time to time to increase the size of the revolving credit facility by up to an additional $250 million, subject to receipt of lender commitments and other conditions precedent.
