SCHEDULE TO

This Tender Offer Statement on Schedule TO relates to the offer by Acxiom Corporation, a Delaware corporation (“Acxiom” or the “Company”), to purchase up to 11,111,111 shares of its Common Stock, $0.10 par value per share (including the associated stock purchase rights) (the “Shares”), or such lesser number of Shares as is properly tendered and not properly withdrawn, at prices between $25.00 and $27.00 per share, without interest. The Company’s offer is being made upon the terms and subject to the conditions set forth in the Offer to Purchase dated August 7, 2006 (the “Offer to Purchase”), and in the related Letter of Transmittal, copies of which are attached to this Schedule TO as Exhibits (a)(1)(i) and (a)(1)(ii), respectively (which together, as amended or supplemented from time to time, constitute the “Offer”).
