Item 8.01. Other Events.
On July 12, 2006, the Company issued a press release announcing that it has engaged Savvian LLC, an independent investment bank, to assist the Board of Directors and management of the Company in assessing its strategic alternatives to maximize shareholder value, as well as its consideration of the unsolicited proposal made by Ramius Capital Group A copy of the press release is filed as Exhibit 99.1 to this report.
