ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

 

On November 18, 2005, Patterson Companies, Inc. issued a press release announcing its expected revenues and earnings for the second quarter of fiscal year 2006 ended October 29, 2005 will be lower than expectations. The press release also announced that the Company was revising downward its full-year fiscal 2006 guidance. A copy of the press release is furnished as Exhibit 99 to this Current Report on Form 8-K and is incorporated by reference herein.
