SunGard Conference Call Commentary

March 28, 2005

 

Cris Conde, president and chief executive officer:

 

Good morning and thank you for joining us. With me are Jim Mann, our chairman, and Mike Ruane, our chief financial officer.

 

Before we begin, I need to point out that all statements made during this conference call concerning the Company’s outlook and future performance are forward-looking statements, and as such are covered by the Private Securities Litigation Reform Act of 1995. Please see our press release for further details.

 

Earlier today we announced that we had signed a definitive agreement to be acquired in a leveraged buyout by a consortium of world leading private equity firms for $36 per share in cash. This represents an excellent price for stockholders. The total value of the transaction, including SunGard’s existing debt, is approximately $11.3 billion. This is great news for our current stockholders, customers and employees, and I’d like to tell you why we’re so enthusiastic about it.

 

This transaction represents an endorsement of our business model, industry leadership and financial strength.

 

Our customers should know that it is business as usual, now and following the completion of the transaction.

 

We are fortunate that our new investors in SunGard are focused on the technology sector and take a long-term view toward investing in and growing the business. They have an excellent track record of working in partnership with management to build upon the strengths of great companies.

 

Whether through product development or through the continuation of our successful acquisition strategy, we will continue to focus on serving the current and future needs of all our customers, by delivering cutting-edge technologies and providing the very high level of service that we have always been committed to. Our strong and predictable cash flow generation will continue to be key to our ability to reinvest in the business.

 

In light of this transaction, our board has determined not to implement the previously announced plan to spin off SunGard’s Availability Services business.

 

Now, let me tell you about the timing of the proposed transaction. We anticipate that the transaction will be completed in the third quarter of 2005. As you might expect, it’s subject to customary conditions and regulatory approvals, including stockholder approval.


In terms of capital structure, the $500 million in principal amount of bonds will remain outstanding. Under the Indenture for these bonds, this debt will generally be on equal footing with any additional senior debt incurred by SunGard. Our cash flow generation remains strong, and we continue to see an improved demand environment for SunGard products and services.

 

Today we have reached a major milestone in our company’s history. It is interesting to note that SunGard began in 1983 as a leveraged buyout from Sun Oil. In 1986, SunGard went public. Now, after 20 years of strong operating performance, we are becoming a private company again. This is a very exciting time for SunGard.

 

Above all, this transaction is an endorsement of the hard work of all our employees. They should be justifiably proud of what they have achieved and we thank them for their efforts. For them and for all of us at SunGard it also will be business as usual. Upon completion of the transaction, I, together with our current senior management team, will continue to lead the company.

 

Let me conclude by saying this transaction is all about maximizing SunGard’s potential. SunGard will also benefit from the leadership and experience of the private equity investors who will take active roles on our board of directors.

 

I’d also like to extend our thanks to our many long-time shareholders for their support and advice over the years, and to the analysts who have followed SunGard.

SunGard Data Systems to be Acquired by Private Equity Group for $36 per share or approximately $11.3 billion

Transaction Underscores SunGard’s Growth Prospects, Broad and Leading Industry Positions, and World-Class Management Team

 

Wayne, PA and New York, NY- March 28, 2005 - SunGard (NYSE:SDS), a global leader in integrated software and processing solutions primarily for financial services and the pioneer and leading provider of information availability services, together with a consortium of seven leading private equity investment firms, announced today the execution of a definitive agreement under which the consortium will acquire SunGard in a transaction valued at approximately $11.3 billion. The acquiring consortium was organized by Silver Lake Partners and includes Bain Capital, The Blackstone Group, Goldman Sachs Capital Partners, Kohlberg Kravis Roberts & Co. L.P., Providence Equity Partners and Texas Pacific Group.

 

Under the terms of the agreement, SunGard stockholders will receive $36 in cash for each share of SunGard common stock they hold. SunGard’s existing bonds in the principal amount of $500 million will remain outstanding.

 

The board of directors of SunGard has approved the merger agreement and has recommended to SunGard’s stockholders that they adopt the agreement. In light of this transaction, the board of directors of SunGard has determined not to implement the previously announced plan to spin off SunGard’s Availability Services business.

 

The transaction is expected to be completed in the third quarter of 2005, subject to receipt of stockholder approval and customary regulatory approvals as well as satisfaction of other customary closing conditions.

Morgan, Lewis & Bockius LLP acted as legal advisor to SunGard’s management in connection with the transaction.

 

The transaction will be financed through a combination of equity contributed by each of the consortium partners and debt financing provided by JPMorgan, Citigroup Global Markets Inc., Deutsche Bank Securities Inc., Goldman Sachs & Co. and Morgan Stanley who also acted as financial advisors to the consortium partners. Ropes & Gray LLP and Simpson Thacher & Bartlett LLP acted as legal advisors to the consortium partners.
