On September 1, 2009, VeriFone Holdings, Inc. (the "Company") announced its financial results for the fiscal quarter ended July 31, 2009. A copy of the Company's press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On September 1, 2009, the Company announced that it had entered into a settlement with the Securities and Exchange Commission (the "SEC") in connection with the SEC's investigation into the Company's 2007 restatement of certain of its quarterly financial results.
