On November 15, 2004, Tarrant Apparel Group (the "Registrant") issued a
press release regarding its financial results for the quarter and nine months
ended September 30, 2004 and its outlook for fiscal 2004 and 2005 results. A
copy of the press release is attached hereto as Exhibit 99.1 and is incorporated
herein by this reference.
