On October 5, 2004, Tarrant Apparel Group (the "Registrant") issued a
press release updating its outlook for fiscal year 2004 results of operations
and financial condition and outlook for 2005. A copy of the press release is
attached hereto as Exhibit 99.1 and is incorporated herein by this reference.
