(b)    On April 28, 2015, Mary Beth West informed the Board of Directors of J. C. Penney Company, Inc. (the “Company”) that she had accepted the position of Executive Vice President, Chief Customer and Marketing Officer with the Company. Accordingly, Ms. West will be resigning from the Board of Directors of the Company, effective May 15, 2015, and will not stand for re-election at the Company’s 2015 Annual Meeting of Stockholders. A copy of the Company’s press release is attached to this Current Report on Form 8-K as Exhibit 99.1.
