ITEM 8.01 – OTHER EVENTS

On May 12, 2010, Cincinnati Bell Inc. issued a press release announcing that it had entered into a definitive agreement to acquire the equity interests of Cyrus Networks, LLC in a cash transaction valued at approximately $525 million.  A copy of the press release is attached hereto as Exhibit 99.1.
