Item 2.02 Results of Operations and Financial Condition
On April 18, 2005, Orion HealthCorp, Inc. issued a press
release announcing that the Company had found it
necessary to delay the filing of its Annual Report on
Form 10-KSB beyond the extended April 15, 2005,
deadline. In the press release, the Company also
reported on its estimated net operating revenues and
pre-tax net loss for the year ended December 31, 2004.
The press release is attached as Exhibit 99.1 to this
Form 8-K.
