Departure of Directors or Certain Officers; Election of Directors;Appointment of Certain Officers; Compensatory Arrangements of CertainOfficers.

Effective as of September 1, 2010, the Company terminated its employment arrangement with Jack G. Spitz as Vice President of Operations.  In accordance with our agreement we will pay Mr. Spitz’s base salary and maintain his employee benefits for a six (6) month period from the date of the termination notice.
