Spectrum Control signs definitive acquisition agreement

The following information is being furnished pursuant to Item 1.01.  This information, including the exhibits attached hereto, shall not be deemed “filed” for purposes of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or under the Exchange Act, except as may be expressly set forth by specific reference in such a filing.

On June 14, 2010, Spectrum Control, Inc. issued a press release announcing that it has signed a definitive agreement to acquire substantially all of the assets and assume certain liabilities of Sage Laboratories, Inc., a wholly-owned subsidiary of Ceralta Technologies, Inc. A copy of the press release is attached as Exhibit 99.1.
