Item 8.01 Other Events.

 
On August 3, 2009, Keryx Biopharmaceuticals, Inc. (the “Company”) issued a press release announcing that the Company reached an agreement with the U.S. Food and Drug Administration on a Special Protocol Assessment for a Phase 3 Trial of KRX-0401 (Perifosine) in the Treatment of Multiple Myeloma.  A copy of the press release is being furnished as Exhibit 99.1 to this report.
