Item 5.03.
Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(a) On June 11, 2007, the Registrant amended Article IV of its Bylaws to provide that the Registrant’s shares of Common Stock, par value $.01 per share, may be issued in uncertificated form. This amendment to the Registrant’s Bylaws was necessitated by new American Stock Exchange (Amex) listing standards which require that all securities listed on the Amex be eligible for Direct Registration System (DRS) by January 1, 2008. Allowing the Company’s shares to be issued in uncertificated form is necessary for the shares to be DRS eligible.
