Item 2.02. Results of Operations and Financial Condition.

On November 1, 2006, Keryx Biopharmaceuticals, Inc. (“Keryx”) issued a press release announcing results of operations for the third quarter ended September 30, 2006, and announced that it would host a conference call on November 2, 2006, for investors where Keryx will discuss its results of operations and financial results.
