The  Registrant  is  unable  to file its  Quarterly  Report on Form 10-Q for the
Quarter  ended  December  31, 2003 within the  prescribed  time period  because,
Lifestyle Innovations, Inc., a consolidated subsidiary could not provide certain
financial and other  information  necessary for an accurate and full  completion
within the prescribed time period without unreasonable effort or expense.
