Dear Valued Vendor Partner,

 

Today, our company announced that we have entered into an agreement with Rite Aid to combine our operations and create a leader in food, health and wellness that will provide our customers with the flexibility and convenience to shop when, where, and how they want.

 

Together, subject to customary regulatory approvals and approval by Rite Aid shareholders, we will operate approximately 4,900 locations across the country and offer patients access to more than 4,300 pharmacy counters and nearly 300 clinics. When the transaction closes, we will be a top food and drug retailer in most of the geographies we serve.

 

Between Albertsons Companies’ leading own brands and manufacturing and operating capabilities and Rite Aid’s own brands in health and wellness and pharmacy expertise, we can provide our customers everything they need - from favorite fresh foods to top notch pharmacy and health care services to life’s little indulgences.

 

When the transaction closes, we expect to be a publicly traded company, dual headquartered in Boise and Camp Hill, Pennsylvania. Rite Aid’s current Chairman and CEO, John Standley, will be the CEO of the combined company. Bob Miller will continue to serve as Chairman. Bob and John have a long history of working together, going back to Bob’s days at Fred Meyer when John served as the Chief Financial Officer. This is a strong leadership team capable of positioning our merged company for success for many years to come.

 

As many of you know, this is simply a first step. There is still a great deal of work to do before the transaction closes. I’m looking forward to engaging with you in future discussions on how we can continue to strengthen our relationship and grow sales with new opportunities.

 

Our partnership with you remains instrumental to our successful efforts across all of our stores. We know that you’ll have many questions; we anticipate that we have several months before the transaction will close, and we will keep you updated as we move forward in this process.
