Item 7.01 Regulation FD Disclosure

 

In a press release issued on January 16, 2018, Nabors Industries Ltd. (the “Company”) announced that its subsidiary, Nabors Industries, Inc. (“Nabors”), commenced an offering of Senior Unsecured Notes due 2025 (the “Notes”). The Company will fully and unconditionally guarantee the Notes. A copy of the press release is included in this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.

 

In the offering memorandum for the Notes, Nabors disclosed the following information:

 

We estimate our aggregate capital expenditures in 2017 to be approximately $540 million, which included amounts to upgrade our fleet of drilling rigs in the U.S.  lower 48.  Approximately $420 million of this amount was spent in the nine months ended September 30, 2017.  We expect to spend approximately $500 million in 2018 on capital expenditures.  Although our growth and upgrade capital spending should decrease as compared to 2017, maintenance and sustaining capital spending is expected to increase in line with our anticipated higher active rig count.
