Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 12, 2013, Move, Inc. (the Company) held its 2013 Annual Meeting of Stockholders (the Annual Meeting). At the Annual Meeting, the Companys stockholders approved an amendment to the Move, Inc. 2011 Incentive Plan (the Incentive Plan), an omnibus plan that provides for grants of equity and cash-based incentives to employees, officers, directors and consultants of the Company, to increase by 2,100,000 the number of shares available thereunder. Descriptions of the material terms of the Incentive Plan and the proposed amendment thereto were included in the Companys definitive proxy statement filed with the Securities and Exchange Commission on April 25, 2013. The amendment to the Incentive Plan is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
Item 5.07 Submission of Matters to a Vote of Security Holders.
The Companys stockholders approved four proposals at the Annual Meeting. A description of the proposals and the voting results are set forth below. For more information, see the Companys proxy statement dated April 25, 2013.
