Item 5.03 Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year
On December 10, 2007, the Board of Directors of Cherokee Inc. (the “Company”) approved an amendment and restatement of the Company’s Bylaws. The purpose of the amendment and restatement was to amend Article V, Sections 1, 3 and 5 of the Bylaws to comply with Nasdaq’s direct registration program requirements. The foregoing description of the Amended and Restated Bylaws is qualified in its entirety by the Amended and Restated Bylaws of Cherokee Inc. attached as Exhibit 3.1 to this Current Report on Form 8-K and incorporated herein by reference.
