Item 5.02               Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e)                                  On April 6, 2007, our compensation committee approved a Twenty-Five Thousand Dollar ($25,000) merit-based increase to the annual base salary of our Chief Executive Officer, Dr. Philip T. Lavin.  With the increase, Dr. Lavin’s annual base salary is now Three Hundred Twenty-Five Thousand Dollars ($325,000).
