(b) Effective November 15, 2006, Michael L. Jeub resigned as our interim Chief Financial Officer (“CFO”).  This planned action is consistent with the shift of our corporate headquarters to Southborough, Massachusetts.  A search for a replacement CFO for our corporate headquarters is already underway.  During this interim period, Scott L. Millman, our Chief Accounting Officer, will be our principal financial and accounting officer.
