Item 8.01 Other Events.

 

As previously announced, the Securities and Exchange Commission’s Division of Corporation Finance undertook a review of Career Education Corporation’s (“CEC”) Annual Report on Form 10-K for the year ended December 31, 2003, and subsequent quarterly reports in 2004.  The SEC’s Division of Corporation Finance recently informed CEC that it has completed its review and does not, at this time, have further comments.  CEC remains subject to an investigation by the SEC’s Division of Enforcement.
