Item 8.01 Other Events.

On September 13, 2011, Raptor Pharmaceutical Corp., a Delaware corporation (the “Company”), issued a press release announcing the closing of its previously announced underwritten public offering of shares of its common stock at a price to the public of $4.00 per share.  The shares sold in the offering included 10,000,000 shares of common stock plus an additional 1,500,000 shares of common stock pursuant to the exercise by the underwriters of the over-allotment option granted to them by the Company.  Total gross proceeds to the Company in the offering (including in connection with the sale of the shares of common stock pursuant to the exercise of the over-allotment option) totaled $46 million.  The underwriters purchased the common stock at a price of $3.76 per share, representing a 6% discount to the public offering price.  The offering resulted in net proceeds to the Company of approximately $42.89 million after deduction of underwriting discounts and other offering expenses payable by the Company.
