SECTION 1 – REGISTRANT’S BUSINESS AND OPERATIONS

ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

Language Enterprises Corp. (the “Company”) has entered into a loan agreement, dated as of March 7, 2008, (the “Loan Agreement”) with Little Bay Consulting SA (“Little Bay”) for $220,000 (the “Principal Sum”). Under the terms of the Loan Agreement, the Company has agreed to pay interest to Little Bay at a rate of 5% per annum, and to repay the loan on or before July 1, 2010.
