Item 2.02. Results of Operations and Financial Condition

OGE Energy Corp. (the "Company") is the parent company of Oklahoma Gas and Electric Company ("OG&E"), a regulated electric utility with approximately 798,000 customers in Oklahoma and western Arkansas, and OGE Enogex Holdings LLC and its subsidiaries ("Enogex"), a midstream natural gas pipeline business with principal operations in Oklahoma.

On February 27, 2013, the Company issued a press release describing the Company's consolidated financial results for the quarter and year ended December 31, 2012, which is furnished as Exhibit 99.01 and incorporated herein by reference. As described in the press release, the Company reported earnings of $3.58 per diluted share for the year ended December 31, 2012 as compared to $3.45 per diluted share for the year ended December 31, 2011. At OG&E, higher net income was primarily attributed to recovery of various utility investments, transmission revenues associated with new projects, new customer growth and production tax credits related to wind farms, partially offset by higher operating and interest expenses. At Enogex, earnings were lower primarily due to increased operating and interest expenses associated with system expansion and increased ownership percentage in Enogex by OGE's equity partner, partially offset by a higher gross margin as a result of higher gathering, processing and condensate volumes.
