Part III. Narrative

     State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q, N-SAR or the transition report portion thereof could not be filed within the prescribed time period. (Attach extra sheets if needed.)

     Bull Run Corporation (the “Company”) is unable to file the Form 10-K for the year ended June 30, 2002 within the prescribed time period. On September 26, 2002, Host Communications, Inc., the Company’s wholly owned subsidiary, and CBS Sports, a division of CBS Broadcasting, Inc., restructured their agreement to administer corporate sponsorship sales, media and marketing activities for National Collegiate Athletic Association (“NCAA”) championships. The Company, its Audit Committee and its independent auditors are currently determining the financial statement impact of the changes to the agreement, and its impact, if any, on the Company’s consolidated financial statements as of and for the year ended June 30, 2002. The Company anticipates filing its Form 10-K for the year ended June 30, 2002 on or before Monday, October 14, 2002.
