    On May 12, 2009, Mettler-Toledo International Inc. issued a press release announcing the results of its cash tender offer to purchase any and all of its outstanding 4.85% Senior Notes due 2010.   A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
