OTHER EVENTS AND REGULATION FD DISCLOSURE On November 3, 2003, Mettler-Toledo International Inc. ("Mettler-Toledo") issued a press release announcing that it has priced an offering of $150 million of seven-year senior notes. A copy of the press release is furnished hereto as Exhibit 99.1 to this report. The notes, issued at a discount, will have a coupon of 4.85 percent and mature November 15, 2010. Proceeds from this offering together with borrowings under a new $300 million 5-year bank facility will be used to repay in entirety Mettler-Toledo's existing bank facility which will then be terminated. Both transactions are expected to close in the next two weeks. The notes were offered to qualified institutional buyers under Rule 144A and to persons outside the United States under Regulation S. The notes were not registered under the Securities Act of 1933, as amended (the "Securities Act"), and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
