Item 3.02    Unregistered Sales of Equity Securities

         Cathay General Bancorp complete its tender offer for all of the shares of common stock of Great Eastern Bank at midnight, New York City time, on April 6, 2006.  Pursuant to the tender offer and in exchange for 765,214 shares of Great Eastern Bank that had been tendered by Great Eastern Bank shareholders who were accredited investors, Cathay General Bancorp issued 1,181,164 shares of its common stock, par value $.01 per share, to such Great Eastern Bank shareholders.

Item 8.01    Other Events

        On April 7, 2006, Cathay General Bancorp announced in a press release that its tender to offer for all of the shares of common stock of Great Eastern Bank was successfully competed at midnight, New York City time, on April 6, 2006.  A copy of the press release is attached hereto as Exhibit 99.1.
