Item 5.02 ( b) As of  June 5, 2007, Robert A. Hamstead resigned as Vice
               President, Secretary and Treasurer .

Item 5.02 ( c) The Trustees  elected Robert R. McCoy (35) to serve as Vice
               President, Secretary and Treasurer. There is no employment
               contract nor remuneration. Robert R. McCoy is a Certified
               Public Accountant and Assistant Treasurer of Amherst
               Industries, Inc. He will serve until the next Annual Meeting.

	There were no asset-backed securities.
