ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On October 27, 2004, MacDermid, Inc. issued a press release setting forth its
earnings for the third fiscal quarter of 2004 ended September 30, 2004. A copy
of its press release is attached hereto as Exhibit 99.1 and incorporated herein
by reference.
