(b) Larry A. Raymon will retire as Director of Ames National Corporation (the “Company”) effective as of the end of his current term of service, which will conclude at the Company’s annual meeting of shareholders held on April 27, 2016. Mr. Raymon is no longer eligible to stand for reelection due to our corporate governance policy related to age limitation. Mr. Raymon has served as a director of the Company since 2007.

On February 10, 2016, the Company announced the declaration of a cash dividend. A copy of the press release dated February 10, 2016 is attached as Exhibit 99.1.
