Item 7.01. Regulation FD Disclosure.
On January 23, 2013, American International Group, Inc. (“AIG”) filed in the Court of Federal Claims a report (the “Filing”) concerning the unanimous refusal by AIG’s Board of Directors of the demand made by Starr International Company, Inc. (“Starr”) with respect to suits Starr has commenced against the United States of America and the Federal Reserve Bank of New York. The Filing attaches a letter to Starr’s counsel and related exhibits describing the process by which the Board considered and refused Starr’s demand and stating the reasons for the Board’s determination. A copy of the Filing with its attachments is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
