On October 28, 2011, the Company’s Shareholder Rights Plan (the “Plan”), as previously amended, expired pursuant to the terms of the Plan. Accordingly, the preferred stock purchase rights issued under the Plan expired as of the close of business on October 28, 2011 and are no longer outstanding.
