Item 1.01 Entry into a Material Definitive Agreement.

Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On March 26, 2008, Penn Virginia Resource Partners, L.P. (“PVR”) and Penn Virginia Operating Co., LLC (the “Operating Company”) entered into the Fourth Amendment (the “Note Amendment”) to the Note Purchase Agreements dated March 27, 2003 (the “Note Purchase Agreements”) whereunder the Operating Company has issued $90 million aggregate principal amount of its 6.02% (originally 5.77%) senior notes which are due March 27, 2013. The Note Amendment amended the Note Purchase Agreements to remove the non-cash impact of commodity derivatives in the leverage covenant calculation of the Note Purchase Agreements.

Penn Virginia GP Holdings, L.P. owns 100% of the general partner of PVR, which holds a 2% general partner interest in PVR and an approximately 42% limited partner interest in PVR.

A copy of the Note Amendment is filed as Exhibit 4.1 to this Current Report on Form 8-K and is incorporated herein by reference. The description of the Note Amendment herein is qualified by reference to the text of Exhibit 4.1.
