Item 8.01. Other Events.

As previously disclosed, a subsidiary of Maxwell Technologies Inc. (“Maxwell”), I-Bus/Phoenix, Inc., had been named as a defendant in a suit filed on March 4, 2004 in the Superior Court of the State of California for the County of San Luis Obispo. This suit, Edmonds vs. I-Bus/Phoenix, Inc., was filed by the plaintiff on his behalf and alleges damages concerning the repurchase of I-Bus/Phoenix, Inc. shares. A jury trial commenced on September 5, 2006 and the jury returned a verdict on September 12, 2006 in favor of the plaintiff in the amount of $230,600. An analysis has yet to be completed regarding post-trial motions to challenge the judgment or whether an appeal will be filed. To the extent Maxwell decides to not contest and therefore pays the judgment, it will result in a charge to earnings for the quarter ending September 30, 2006.
