Item 1.01. Entry into a Material Definitive Agreement

 

On April 13, 2005, The Gap, Inc. (the “Company”) entered into an agreement with Anne B. Gust, the Company’s Executive Vice President, Chief Administrative Officer and Chief Compliance Officer, regarding her separation from the Company. A copy of this agreement is attached hereto as Exhibit 10.1.
