Item 12. Results of Operations and Financial Condition.
On December 16, 2003, PriceSmart, Inc. issued a press release regarding its results of operations for the fourth quarter and fiscal year ended August 31, 2003. PriceSmart also announced the filing of its amended Annual Report on Form 10-K/A for fiscal 2002 and amended Quarterly Reports on Form 10-Q/A for the first three quarters of fiscal 2003, resulting from the previously announced restatement of PriceSmart’s financial results. A copy of the press release is furnished herewith as Exhibit 99.1.
